Subscription Agreement

This Subscription Agreement (“Agreement”) governs access to the Clarity Services offered by Outsource CFO Limited, Edmonton, Alberta.
By subscribing to any plan, you agree to this Agreement.

1. Scope of Services
Depending on your selected plan, Clarity offers:
A. Bookkeeping Plans (Essential / Growth / Elite)

Bank and credit card reconciliations

AI-enhanced categorization
-
Monthly P&L and balance sheet
-
Real-time dashboards
-
Alerts and estimated tax set-asides
-
Cash flow dashboards (select tiers)
-
Monthly financial insights or videos (select tiers)
-
Tax-ready year-end financials
B. Standalone CFO Cash Clarity Kit (Annual Only)
-
12-month strategic cash visibility program
-
Real-time dashboards
-
Monthly P&L and balance sheet
-
Cash targets and draw recommendations
-
Quarterly review
-
No bookkeeping services
-
Connection to Xero, QuickBooks required. Therefore customers must have an existing account with Xero or QuickBooks.
C. What Is NOT Included
Clarity does not provide:

Tax return preparation or filing
-
Audit or assurance
-
Review engagements
-
Payroll processing
-
Legal or investment advice
-
Regulatory compliance filings
2. Term & Renewal
Monthly Plans
-
Auto-renew monthly
-
Non-refundable once the billing period begins
Annual Plans
-
Auto-renew annually
-
Non-refundable after the first 14 days (industry standard & Pilot-aligned)
-
Standalone CFO Cash Clarity Kit is annual only
Customer Termination Notice
You may terminate with 30 days written notice.
Billing continues until the end of the 30-day notice period.
Clarity may terminate immediately for:

non-payment
-
breach
-
illegal use of Service
-
refusal to provide required financial data
3. Fees & Payment
-
Fees are charged in CAD unless stated otherwise
-
Payment is collected at the start of each billing term
-
Past due accounts may be suspended
-
Pricing changes require 30 days notice
-
No prorated refunds.
4. Customer Responsibilities
You must:

Provide accurate, complete, and timely financial data
-
Ensure bank accounts are connected to Xero at all times
-
Maintain active access to Xero
-
Respond to clarification requests
-
Review reports for accuracy
-
Maintain your own document backups
Clarity is not responsible for errors caused by missing, late, or inaccurate information.
5. Data Ownership & Rights
You own your raw financial data.
Clarity owns:

dashboards
-
workflows
-
reporting templates
-
AI categorization logic
-
aggregate & anonymized model improvements
You grant Clarity a license to use your data to provide and improve the Services.
6. Confidentiality
Both parties must protect confidential information.
7. No Professional Advice
Clarity provides bookkeeping insights, not:

tax advice
-
accounting opinions
-
legal advice
-
CPA-reviewed statements
All outputs should be reviewed with your accountant or legal advisor.
8. Limitation of Liability
Our maximum liability is limited to fees paid in the prior 6 months.
We are not liable for:

lost profits
-
lost data
-
indirect or consequential damages
-
regulatory non-compliance caused by customer data
9. Governing Law
This Agreement is governed by the laws of Alberta, Canada.
10. Entire Agreement
This Agreement, the Terms of Use, and the Privacy Statement form the full agreement.

You may request a call or meeting using the “Schedule a Call” option in your portal.

C. No Phone Support Without Scheduling
For quality and workflow control, all phone or video calls must be scheduled through the client portal. We do not provide unscheduled or on-demand phone support.
